What am I investing in?

stREITwise is an online real estate investment platform that provides investors exposure to a diversified portfolio of cash flowing real estate located in inefficiently-priced markets throughout the United States. Our first offering, 1st stREIT Office, targets institutional-quality office buildings including the Panera Bread HQ Property in St. Louis, MO.

What makes stREITwise unique?

For as little as a $1,000 initial investment, stREITwise provides accredited and non-accredited investors alike the ability to generate passive income through an investment in a diversified portfolio of institutional-quality real estate with an ultra-low cost structure.

Additionally, the stREITwise portfolio is directed by a team of seasoned real estate investment professionals with considerable real estate investing experience. stREITwise’s founders have acquired and/or managed over $5.4 billion of real estate investments spanning all major property types. How do I earn a return on my investment?

Returns can be earned through (i) quarterly dividends, and (ii) appreciation in asset value.

How often will I receive dividends, and at what rate?

We expect to pay dividends on a quarterly basis, and that the dividend rate will be set at a level that we believe will be consistent and sustainable over time. There can be no assurance as to when, if, and at what level, dividends will be paid as that is a decision our Board of Directors makes each quarter. What are the fees?

While our competitors charge upfront fees as high as 15% of your initial investment, stREITwise’s upfront expenses are CAPPED at 3%. That makes us up to 80% cheaper than the competition.

As for ongoing costs such as acquisition fees, disposition fees, financing fees and incentive fees, all of which impact total returns negatively, stREITwise doesn’t charge ANY of those. Are there risks?

Yes, there are risks. Similar to investing in the stock market, there is no guarantee of a return of your investment or on your investment. The real estate market has economic cycles and it is difficult to predict how and when the market will change. That said, stREITwise has a 10% target annualized return, which should pose a moderate level of risk. How do I receive my dividends?

Dividends are deposited directly into the bank account you specify during your investment signup.

How will I be updated on the progress of my investments?

We will provide periodic updates on the performance of your investment by posting recurring reports and reports for specified material events on the SEC’s website at www.sec.gov. We may also provide updates on our website or through secure email.

Can I invest more after my initial investment?

Yes, after placing your first investment you can place subsequent follow-on investments through the same process as your initial investment.

Can I reinvest my dividends?

Not currently. We may implement a dividend reinvestment plan at a later date.

Can I redeem my shares?

Yes. Following a one year waiting period, you may redeem your shares through our Stockholder Redemption Plan. For more details, see the “Stockholder Redemption Plan” section in our offering circular.

Tax Considerations

When will I get my tax documents?

Your Form 1099-DIV tax information, if required, will be provided by January 31 of the year following each taxable year.

What is a Form 1099-DIV?

IRS Form 1099-DIV is sent to investors annually and provides the tax character of any distributions (dividends and any other distributions) paid to you during the tax year.

Will the dividends I receive be taxable as ordinary income?

Unless your investment is held in a qualified tax-exempt account, your dividends will generally have tax implications. Dividends will typically come in three forms – (i) return of capital dividends (which are generally not taxed and instead reduce your tax basis for future capital gain consideration), (ii) capital gain dividends (which are generally taxable at long-term capital gain rates), or dividends from current or accumulated earnings or profits (which are generally taxed at ordinary income rates). However, because each investor’s tax considerations are different, we recommend that you consult with your tax advisor.
